Senior Legal Counsel

• Join Awin’s Legal team as Senior Legal Counsel, working hybrid from London or another Awin office. • Act as a hands-on legal partner to commercial, product and leadership teams across a global affiliate network. • Lead complex negotiations and support M&A and strategic transactions. • Help the business grow across Europe, the UK, the US and beyond. • Shape how the Legal team uses AI and advise on AI regulation such as the EU AI Act. • Report directly to the General Counsel.

• Hold a qualification as a solicitor or barrister in England and Wales, or as an attorney in a US state. • Bring 5+ years’ PQE, ideally in-house at an international business or at a law firm. • Show a strong track record in complex commercial negotiations, ideally in affiliate marketing, tech, SaaS, AdTech or e-commerce. • Bring solid M&A experience, including due diligence, transaction documents and post-closing integration. • Speak and write native or native-level English with excellent drafting skills. • Explain complex legal and business matters clearly to non-lawyers. • Use AI tools confidently in your daily work. • Manage several matters at once independently under tight deadlines.

• Bring experience with US commercial contracts, litigation, subpoenas and dispute resolution. • Know data protection laws such as GDPR, UK GDPR and US state privacy laws. • Speak additional languages such as Spanish, French or Portuguese. • Know AI regulation and governance, such as the EU AI Act. • Bring experience with contract management systems or Asana.

• Lead drafting and negotiation of complex agreements, including MSAs, SaaS terms, DPAs and NDAs. • Act as the go-to legal partner for commercial teams across regions. • Advise on corporate, commercial, competition, IP and regulatory matters across EU, UK and US law. • Support M&A from due diligence through to post-merger integration. • Manage disputes, litigation and third-party information requests with external counsel. • Work with the Privacy team on the contractual side of data protection. • Introduce AI tools into Legal workflows and advise on AI legal issues. • Improve templates, playbooks and processes, and train non-lawyers.
